Three questions that shape the defence

01   What legal powers and duties did the person actually have?

02   What conduct, intent, loss and causal link can the evidence establish?

03   How were documents, recordings and expert findings obtained?

EARLY LEGAL ASSISTANCE

When to contact a lawyer for an official misconduct case

The need for counsel may arise well before a formal notice of suspicion. A summons for questioning, a search at the company premises, seizure of devices, requests for documents or an application to suspend an official from office can all affect the defence. These investigations frequently involve a long history of management decisions and overlapping responsibilities.

A criminal defence lawyer should determine the person’s procedural status, review the available documents and understand who had authority over each decision. Early preparation is particularly important before substantive questioning, because incomplete explanations may obscure the legal and factual context of a complicated administrative process.

SUMMONS

Witness questioning

Review procedural status, relevant rights and the subject of proposed questions.

SEARCH

Office search and seizure

Assess search authority, the record and the legal basis for retaining property.

SUSPICION

Formal criminal allegations

Review the applicable offence, prosecution evidence and immediate procedural risks.

ARTICLE 364

Abuse of authority or office under Article 364

A decision that turns out to be economically disadvantageous does not automatically amount to abuse of office. Article 364 requires the statutory elements, including use of official authority contrary to the interests of the service for the purpose of obtaining an unlawful benefit, substantial harm and a causal link. The legal powers of the official and the framework governing the decision must be established.

We examine the relevant legislation, job descriptions, delegated powers, meeting records, internal approvals and the methodology used to calculate alleged losses. A central question is whether the person had the discretion to act as alleged and whether the prosecution can prove every necessary element rather than relying solely on an unfavourable outcome.

AUTHORITY

Allocation of powers

Identify who made, approved and supervised each decision.

PURPOSE

Unlawful benefit

Review evidence of the particular purpose required by the offence.

HARM

Loss and causation

Test the claimed loss, assumptions and connection to the accused conduct.

PRIVATE COMPANIES

Abuse of powers by private company executives under Article 364-1

A director of a private company is not automatically subject to the same provision as a public official. Article 364-1 may apply to an official of a private-law legal entity where its statutory elements are present. The correct charge depends on the person’s status, authority, purpose of obtaining an unlawful benefit, harm and other circumstances.

When a dispute concerns procurement, a supplier contract, a payment or corporate assets, the defence should distinguish a genuine commercial dispute from an alleged criminal offence. We analyse company charters, approval limits, transaction records and the practical conditions in which the decision was taken.

EXECUTIVES

Management authority

Examine corporate records and delegated decision-making powers.

TRANSACTIONS

Contracts and payments

Compare primary documents with the actual performance of obligations.

QUALIFICATION

Civil dispute or crime

Test all elements of a criminal allegation instead of treating every loss as criminal.

ARTICLE 365

Exceeding authority by a law enforcement officer

The current version of Article 365 concerns a law enforcement officer who intentionally and clearly exceeds granted powers, subject to the other statutory elements. It must not be applied indiscriminately to every manager, civil servant or public employee. Establishing the individual’s legal status and actual authority is essential.

We assess the relevant legal powers, orders, incident reports, video footage and records of the use of coercive measures. Article 365-2 provides a distinct legal framework for specified persons rendering public services, including some allegations involving notaries or registrars, where its own elements are satisfied.

SPECIAL SUBJECT

Law enforcement status

Verify the person’s role at the time of the alleged event.

SCOPE

Clear excess of authority

Compare actual conduct with statutory and delegated powers.

OTHER SERVICES

Article 365-2

Assess the separate rules for persons providing public services.

ARTICLE 366

Official document falsification under Article 366

Article 366 concerns the deliberate creation or issuance of knowingly false official documents, insertion of knowingly false information or other falsification of such documents by a qualifying official. The defence must examine whether the document is official in the legal sense, who prepared or signed it and what the person actually knew about the information.

For work-completion certificates, personnel records, accounts and committee decisions, we compare original sources, document versions, digital signatures and approval processes. In its judgment of 21 October 2025 in case No. 154/965/21, the Supreme Court addressed the legal status of a construction works acceptance certificate as an official document. The document’s real legal function matters.

DOCUMENT

Official legal status

Examine the instrument’s purpose and legal consequences.

AUTHORSHIP

Who entered the information

Distinguish preparation, verification, approval and signature.

KNOWLEDGE

Knowingly false data

Examine source records and the possibility of a genuine mistake.

ARTICLE 367

Official negligence under Article 367

An allegation that a person exercised “poor supervision” is not enough on its own. Article 367 requires identification of a concrete official duty, its failure or improper performance through the relevant negligent attitude, qualifying harm and causation. A poor business outcome and a criminally negligent breach are not necessarily the same thing.

We assess whether the official was realistically able to perform the particular duty, what information or resources were available and which obligations belonged to other staff. In case No. 363/2525/17, decided on 27 January 2025, the Supreme Court examined the need to identify the applicable duties of a state cadastral registrar.

DUTY

Exact obligation

Identify the governing rule, instruction and allocation of duties.

CAPACITY

Practical ability to comply

Review available information, staffing and operational constraints.

CONSEQUENCES

Harm and causal connection

Examine the evidence that connects the alleged omission to the claimed outcome.

ARTICLE 368

Receipt of an unlawful benefit under Article 368

Article 368 addresses statutory forms of acceptance of an offer or promise, requesting or receiving an unlawful benefit by an official in connection with the use of official position. Such conduct is often referred to as bribery, but the specific facts, conversation, authority and elements of the relevant part of the article are decisive.

We examine covert audio or video records, communications, money transfer records, the legal basis of covert investigative measures and the possible issue of entrapment or provocation. Article 369, concerning offering, promising or providing an unlawful benefit to an official, is a distinct offence and does not necessarily involve an accused person who is an official.

COVERT EVIDENCE

Recordings and procedures

Review authorisation, completeness and authenticity.

LEGAL DISTINCTION

Articles 368 and 369

Distinguish receipt of an unlawful benefit from offering or providing one.

PROVOCATION

Conduct of investigators

Review whether the authorities merely documented or improperly induced an offence.

SEARCHES

Office searches and seizure of records and electronic devices

Investigators may seek company records, computers, servers and accounting documents. Counsel examines the warrant, the scope of the search, the record of the action, available video evidence and any objections entered into the record. Under Article 236 of the Criminal Procedure Code, an appropriately authorised lawyer must be admitted to a search at any stage.

The absence of a lawyer from the outset does not automatically make a search unlawful. Any challenge must identify the relevant circumstances and procedural violations. We also assess the basis for continuing to hold or freeze property, the handling of electronic information and protection of privileged materials.

WARRANT

Scope and procedure

Compare the search with the judicial authorisation and recorded actions.

DIGITAL DATA

Devices and copies

Examine how files were accessed, copied and retained.

PROPERTY

Return and release

Evaluate procedures to challenge seizure or freezing measures.

PROCEDURAL RESTRICTIONS

Suspension from office asset seizure and pre-trial restraints

A criminal investigation involving an official may be accompanied by an application for suspension from office, freezing of assets, bail or other pre-trial restraints. Each measure has its own legal conditions. Opposing the substantive allegation does not replace a specific response to the grounds for the procedural restriction.

We prepare arguments on the stated risks, proportionality and the impact on the person’s work, the institution and third parties. Ownership of company property should be distinguished from personal property, and every freezing order must be assessed in light of its stated statutory purpose.

EMPLOYMENT

Suspension from office

Examine the justification, term and proportionality of suspension.

LIBERTY

Pre-trial restraints

Challenge unsupported risks and present lawful alternatives.

OWNERSHIP

Third-party assets

Protect property rights within the relevant procedural framework.

FINANCIAL EVIDENCE

Financial loss expert reports and commercial records

The amount of alleged damage is often derived from financial or construction expert reports. We check the documents supplied to experts, the calculations and assumptions, actual delivery of goods or works and the distinction between expert findings and questions of law. A monetary conclusion cannot by itself prove intent or unlawful purpose.

Relevant materials may include agreements, invoices, tender records, acceptance certificates, accounts and internal approvals. Depending on the evidence, the defence may raise questions to experts, seek further examination or present an alternative properly supported calculation.

LOSS

Basis of the calculation

Identify source figures and assumptions behind the claimed amount.

OPERATIONS

Commercial reality

Analyse performance, payments and business records.

EXPERT EVIDENCE

Method and competence

Assess whether the conclusions can be tested in court.

SUPREME COURT PRACTICE

Ukrainian Supreme Court decisions on official misconduct

In case No. 761/32259/16-k, decided on 8 July 2024, the Supreme Court stressed the importance of analysing the legal regulatory framework and the actual allocation of powers before assessing alleged abuse of office. The discretion available to the official cannot be ignored.

In case No. 154/965/21, decided on 21 October 2025, the Court addressed the official character of a certificate accepting construction works. Its judgment of 27 January 2025 in case No. 363/2525/17 considered the identification of an official’s concrete duties in an allegation of negligence. The relevance of each decision depends on the facts and the applicable version of the law.

CRIMINAL TRIAL

Defence in court under Articles 364 365 366 367 and 368

Once the investigation materials have been disclosed under Article 290 of the Criminal Procedure Code, we assess the completeness and admissibility of the evidence and its relationship to the charge. The defence examines the person’s status, the precise alleged conduct, the necessary mental element, relevant harm and causal link.

At trial we examine documents, witnesses, expert opinions and covert investigation materials, and submit legally grounded motions. Where a judgment has already been delivered, we assess available avenues of appeal or cassation. The law does not permit a guaranteed acquittal or case termination in advance.

PREPARATION

Documents to provide for the first consultation

Useful documents include a summons, notice of suspicion, search record, court order, job description, company charter, internal authorisations, contracts, accounts and expert reports. If little paperwork is available, the most important starting facts are the person’s role, the date of the incident, the investigating agency and the alleged conduct.

Preserve original documents and existing electronic files without alteration. Do not coordinate witnesses’ accounts. Counsel can identify the appropriate lawful procedural methods for obtaining additional records and addressing confidentiality concerns.

HOW WE WORK

How MAGISTERS structures the defence

We start with immediate deadlines and risks, the wording of the allegation, actual authority and the materials already available. We then agree a coherent strategy for questioning, searches, expert evidence, assets, procedural complaints and trial preparation.

Our work takes account of confidentiality, the reputation of officials and the continuity of business or public functions. The scope of representation and fees are agreed after reviewing the stage of proceedings, urgency, number of alleged episodes and volume of evidence.
